for what it promises it is good... but do you want what it promises?

I am a 2x entrepreneur who has raised over $20M in VC funding, so when i say this is a must-read IF you want to raise money I am speaking out of experience.
I wish I had this book in 2007, when I was trying to raise money. Terms like "double ratchet anti-dilution", "preferred", "participation", "vesting pool' or "liquidation events" were all terms that I was completely ignorant about. worst yet, our attorneys had to explain these to me, and at $750/hr it was a costly lesson. $30 for this book would have saved me $1,000's in legal fees, and hundreds of thousands in earnings.
Well, but now that i have read this book my long-held view about VCs is further perpetuated.
VCs are in the business to accomplish two things: (1) preserve their LP capital (i.e. don't lose money). and (2) earn outsized earning to makeup for all the duds (i.e. take everything you can).

Note, "make the entrepreneur lots of money" is not on the list. This is something that the authors and most VCs, including Mark Suster on his talks/blogs will confirm this. As an entrepreneur you end up working for the VCs and will get wealthy if your company ends up being one of the 0.01% of VC companies that have very successful exits. If your company does just "great", or "OK" then expect to earn nothing from the exit - while the VC will walkaway with 2x to 5x of the investment.
This is not a bad thing if you expect to be in the 0.01%, but as that number indicates - it's not likely.

so lets look at the main two things covered in this book that describe how VCs make money:

VCs get their money from pension funds, alternative asset funds, government organizations, and basically any large sources of capital that is looking for risk-adjusted better-than-average returns. these are the clients of VCs and these are the folks they are accountable to. So if they don't produce the expected returns, or worse yet lose their capital they won't be in business for too long.
To increase the odds of staying in business they do two things:
(a) push the risk to the entrepreneur and all the "common" investors - do you own "common stock" or "preferred stock"? 'nough said.
(b) make the ownership disproportionate to the proceeds of liquidation - meaning, if the ownership is split 50/50 between the founder and the VC then during the sale most of the proceeds (60% to 80%) will go to the VC.

this is done by instruments like "preferred class", "full participation", "anti-dilution" and other similar means that create asymmetry in risk/reword. Just read chapters 4 and 5 of the book if you need to see examples.
BTW: Does this sound familiar? we had a similar situation in the financial crisis of 2008. Banks created asymmetry in the housing market where they held disproportionate amount of the reword while the risk was pushed out to the homeowner and rest of the economy.

So, if as an entrepreneur and you have created a business that is cashflow-positive, and has a great product and market opportunity then think twice about the VC option. There are many other ways to raise money - loans, venture debt, private equity, and good ol' sales...
Granted, this might not be the fastest way to grow your company and presents the risk of being overtaken by a well-funded company. But if you know that the market is big enough for more then one player (even if you're #2), and you want to keep a larger amount of your hard-earned money and reduce the influence of VCs then think twice about the VC option.

But if you think your company is the next Facebook or Google then go for it. However, most founders endup working in "indentured servanthood" to VCs because they end up relinquishing control and ownership of the company while working long hard hours for little pay.

Buy this book. Read it. Explore all your capitalization options. Weigh the costs and benefits. But whatever you decide make sure to focus on creating a kick-a$$ products for a kick-a$$ markets more so then about raising money. If you have a great company money will find you.

This is the second time in my life I find myself doing the rounds to collect proper money from investors. First time, more than fifteen years ago, I used the Bagley and Dauchy classic “Entrepreneur’s Guide to Business Law” and I thought it was pretty good. This book is quite simply in a different league.

The authors, seasoned VC entrepreneurs, have a gift for writing and that’s what carries you through the book. It’s all very serious, of course, but the writing style is as far from dry as you can imagine.

So I’m reading this and the only thing that keeps me from saying “OK, boys and girls, this covers everything, it’s the gospel” is the simple fact that if I was a VC I’d write a book that makes the case for the VC’s interests rather than the entrepreneur’s. So from where I stand, and I’m an entrepreneur, I’d want an entrepreneur to have written the book.

The authors actually go a long way toward addressing this concern: the summary for every section has actually been written by entrepreneur Matt Blumberg and rather often it’s hardly a summary; it emphasizes different point from Brad Feld’s, lending credibility to the book and making the reader more comfortable.

So this is basically a tremendous book and if you’re raising money you need to buy it and read it. If for some mysterious reason you don’t want a preview, on the other hand, look away now, because what follows is my summary of the key points:

Chapter 1: “The Players”
• You need to be talking to a Managing Director or a General Partner
• You need a good, experienced lawyer: this is an awful place to skimp
• Mentors are great

Chapter 2: “How to Raise Money”
• You need an elevator pitch, an executive summary and a 10-slide powerpoint presentation
• “We haven’t seen a business plan in more than 20 years”
• Your financial model must get the potential expenses right; forget about nailing the revenues
• Do your homework on your VC and don’t press any clearly advertised wrong buttons
• If you feel like your VC is a proctologist, run for the hills
• Ask your VC for references from entrepreneurs

Chapter 3: “Overview of the Term Sheet:
• It’s not a letter of intent; it’s a blueprint for your future relationship with your VC
• Two things matter: economics and control

Chapter 4: “Economic Terms of the Term Sheet”
• Understand the difference between pre-money and post-money
• The VC will try to stick the options pool in the pre-money valuation
• You must have a Plan B to be able to negotiate good economic terms
• Competition aside, valuation will depend on the stage of the company, the team’s experience, the numbers, the suitability for the VC and the economic environment
• Liquidation Preference arises because VCs come in with preferred stock and means the VC gets its money first. This can be very dilutive if the next round is a down round.
• Fully Participating stock receives its participation amount and then shares in the liquidation process on an as-converted basis
• A cap can be put on the participation
• Under “pay to play” provisions, investors who do not participate in the next round get converted to common stock.
• Typically, employee stocks and options will vest over four years and disappear if somebody leaves
• Consideration must be given to treating the vesting as clawback with an IRS Section 83(b) election
• Acceleration of vesting upon change of control is a key feature, don’t leave it out!
• Antidilution provisions may be requested by the investor for the case where new common stock is created after the financing

Chapter 5: “Control Terms of the Term Sheet”
• At the beginning it will be 1. Founder, 2. CEO, 3. VC, 4. 2nd VC, 5. outside board member
• Don’t allow observers on your board
• Make sure the Protective Provisions allow you to borrow a reasonable amount of money
• Your investors need to vote as a single class
• There will be a drag-along provision (majority of shares on as-converted basis is the law in Delaware)
• There will be a conversion clause (so VCs can vote alongside common stock when they must)
• An automatic conversion clause can be there to force VCs to give up on their preferred ahead of a sale.
• If there is an automatic conversion threshold, it must be the same for all classes of stock.

Chapter 6: “Other Terms of the Term Sheet”
• Dividends might be requested by dorky VCs with Private Equity background.
• Noncumulative dividends that require board approval are OK. Supermajority even better.
• Redemption rights on the preferred (say after 5 years) can be put in by VCs that have the maturity of their fund in mind.
• Adverse Change Redemption Rights are evil, because there is no good definition for adverse change.
• Conditions Precedent to Financing should be avoided at all costs.
• Information Rights are A-OK.
• Registration Rights are A-OK. The world is good if you’re going public.
• Right of First Refusal had better be restricted to big investors.
• Right of First Refusal had better be pro-rata.
• Restriction on Sales is a clause that allows the company itself the right of first refusal.
• The Proprietary Information and Inventions Agreement is a clause you actually need.
• A Co-Sale Agreement allows investors to sell along with founders.
• A No-Shop Agreement had better expire automatically if the sale falls through and should have a carve-out for acquisitions.
• A standard Indemnification clause is good corporate hygiene, but it means you need to buy directors’ insurance.
• The Assignment clause needs to be read carefully: look for the loophole “assignment without transfer or the obligation under the agreements” which should not be there.

Chapter 8: “Convertible Debt”
• Convertible converts at a discount to the next financing.
• The purpose is to defer the discussion about the value of the company.
• A floor on the value of the stock protects the entrepreneur.
• A ceiling protects the investor, but can hurt everybody because it guides (caps!) the next investors on price.
• You should put a reasonable time horizon on an equity financing as a condition, or you will find the debt converted before you had time to do the financing.
• You should set upfront the minimum amount of financing that triggers the conversion.
• The interest rate on the debt should be as low as possible.
• There must be clauses regarding the sale of the firm while the debt is outstanding.
• Technically, a startup with convertible debt is insolvent!!!
• Warrants attached to debt are an alternative to the discount on convertible debt.
• Warrants should deliver the most recent class of stock at the most recent round’s price.
• Warrants are long-term (e.g. 10 year) call options.
• Warrants had better expire at a merger/acquisition unless they are exercised prior to the merger.

Chapter 9: “How Venture Capital Funds Work”
• Fees received from the LP are higher during the “Commitment Period” during which funds can still be committed to new investments.
• Follow-on investments can still be made during the investment term of the fund.
• VCs recycle their management fee into the LP if returns during the early life of the fund are good.
• If a fund is approaching the end of its life, you don’t want them to invest in you and most probably they can’t anyway.
• Ask your VC when they made their last investment. If it was more than 12 months ago, run for the hills.

Chapter 10: “Negotiation Tactics”
• Get a good result, do not kill your personal relationships and understand the deal you struck.
• This deal is not your lawyer’s.
• Find out who you are dealing with.
• Have a solid Plan B.
• Get the VC to tell you the top 3 things he wants (erm, good luck with that, I say)
• Always be transparent.
• Never make an offer first.
• Understand what market terms are.
• Bear a bad deal, because the acquirer might deliver you from it.

Chapter 11: “Raising Money the Right Way”
• Don’t ask for an NDA.
• Don’t carpet bomb VCs.
• No means no.
• Don’t be a solo founder.
• Don’t overemphasize patents.

Chapter 13: “Letters of Intent – The Other Term Sheet”
• (N.B. that means you’re selling the firm)
• They will beef up the options plan, right out of the offer they’ve shown you.
• An asset deal is crap: you have no assets but must still close the firm down.
• If they are offering illiquid stock, that’s something you’ll need to invest the time to evaluate yourself!
• You will have to give representations and warranties and if they are qualified by “to the extent currently known” you will have to sign them.
• Escrow is the practice whereby part of the offer is put to one side until some conditions have been met. This is a big burden, especially if the consideration is in stock. Fight it as much as possible.
• No-shop clauses should expire the moment the buyer terminates the process.
• Don’t negotiate your deal at the beginning (that looks awful) but don’t leave it last either.

Chapter 14: “Legal Things Every Entrepreneur Should Know”
• IP issues can kill a startup before you even really begin.
• Delaware
• Non-accredited investors have a right of rescission!
• Don’t forget to file an 83(b) Election
• When you write options to your employees, get them 409A - valuated

Beware the Crocodiles

Feld's book covers most of the issues in a vanilla VC term sheet. It's decently written, and Feld is good at explaining the concepts involved.

But don't be misled: this is a book written by a VC. You should be cautious. Feld's in business to find and sign entrepreneurs, and it's in his interest to set your expectations low and make himself and his peers look harmless. VCs love entrepreneurs who "go along to get along". After all, the VC wants control of your company (for his minority stake) plus as much of your company as he can grab. He'll want the option pool to come out of your end. And those "independent" directors? They'll usually be pals of the VC, or hoping for a job from the VC. In other words, when the crunch comes, they'l side with the VC. Which is why the VC is always happy to have independents on the board. VCs take control of companies through many subtle techniques. Don't be a schmuck and wake up having made them rich while you toil to vest stock in your own company.

There are many blogs written by VCs, each offering "helpful" advice for entrepreneurs. Beware! VCs are not in business to serve you. They serve their LPs. Entrepreneurs are disposable. You are not their customer. They don't work for you--but you may end up working for them.

Remember that.

About the Author

Prof. Maria G. Burns serves as the Director for the Center for Logistics & Transportation Policy, University of Houston, and as Lead of Workforce Development and Researcher in the DHS Center of Excellence for Borders, Trade and Immigration Research, led by the University of Houston. She is the author of the books Port Management & Operations (2014); Logistics & Transportation Security (2015), and Energy Security & Critical Infrastructure (2016). She is an Honorary Member in the US Coast Guard Auxiliary, and Member in the Private Sector Advisory Council (PSAC), whose role is to advise the Governor of Texas in matters of security.

In 2016, Prof. Burns received the "Excellence in Emergency Management Award" by the Emergency Management Association of Texas (EMAT). She has developed a series of training manuals approved by the US Coast Guard NMC. She is a Certified Auditor for Security (ISPS), Safety (ISM), Quality (ISO9001), and the Environment (ISO14001). She serves as Chair in the Supply Chain Security Subcommittee of the National Academies, Washington DC, and Member of the Society of Naval Architects and Marine Engineers (SNAME), and the International Association of Maritime Economists (IAME).

A little book with an impressive amount of information

This is literally one of the "smallest" books I own and it easily fits into a pocket (6.9 x 4.3 x 0.6 inches). But the amount of information it packs is impressive.

What you will find here is an excellent and succint primer about malaria: the biology (both of the Anopheles mosquito that carries it and of the Plasmodium parasite that causes it); the history of the science of "malariology", from the first studies which identified the parasite and the carrier to the more recent, still fruitless search for a vaccine; the history of how the medical and political world have shifted back and forth from attempts to eradicate to more limited attempts to mitigate.

Overall, I suspect that if you want to read only ONE book on malaria you may want to go for Harrison's "Mosquitoes, malaria and men" (which is, however, much older (1978)) or Honigsbaum's "The fever trail" (2002), but if you are in a hurry, this little book will be just fine. All these books, anyway, are written for a general audience, are well and clearly written and can be enjoyed and understood without any medical training.

Fascinating and informative

This concise book illuminates the history of malaria and the necessity of using this earth to find cures for the diseases that stifle mankind. How quinine came to be used by the indigenous in S. America, and how malaria initially was attributed to every type of filth and spirit before they discovered the mosquito to be the culprits, are two of the many episodes in this book. An easy read for a complex subject.

In their simplest form, shoji appear to be no more than a few pieces of wood joined together and attached to a frame with some paper stuck on the back. And this is certainly not an inaccurate description. But it’s how those pieces of wood are joined together and the wonderfully elaborate patterns they can make, how they blend into the supporting framework, and how they harmonize with the surrounding d�cor are what make shoji so captivating.

Mieru kedo, mienai — Seen, but not seen. Shoji fill the room with a gentle soft light, and the play of light and shadows on the shoji paper introduces a fascinating ambiguity that has a very calming effect on the soul.

So how are these pieces of wood (called kumiko) joined together, and what are these patterns? This book goes part of the way to answering that.

It very briefly covers the origins of shoji and how they have developed into their modern form, and the broad classifications of the different types and designs of shoji. It then gives detailed step-by-step instructions on making two different kinds of shoji—the first is a standard simple shoji, and the second is a slightly more complex design with different joinery. The book then gives detailed instructions on the four different methods of making the asa-no-ha, perhaps the best-known and most attractive kumiko pattern in shoji making.

A series of sawing and joinery exercises, detailed diagrams of eleven jigs to help you accurately cut the various angles necessary for the kumiko patterns, and a total of 185 dimensional drawings and photographs help to guide you every step of the way.

THE "LAMBORGHINI PROPHECY" COMPLETES

The Millionaire Fastlane is the echo of a chance encounter I had long ago when I was a pudgy teenager. It was a Fastlane ignition of consciousness, a resurrection triggered by a stranger driving a mythic car--a Lamborghini Countach. The Fastlane was born, and with it the resolution and belief that creating wealth need not take 50 years of financial mediocrity devoured by decades of work, decades of saving, decades of mindless frugality, and decades of 8% stock market returns.

Often, this book references the Lamborghini brand, and it isn't to brag when I say I've owned a few. The Lamborghini icon represents the fulfillment of a prophecy in my life. It innocently
started when I saw my first Lamborghini and it kicked my ass out of my comfort zone. I
confronted its young owner and asked a simple question: "How can you afford such an awesome car?"

The answer I received, unveiled in chapter 2, was short and powerful, but I wish I had more. I
wish that man had taken a minute, an hour, a day, or a week to talk to me. I wish that young
stranger would have mentored me on how to get what I thought the Lamborghini represented:
wealth. I wish that man had reached into his car and given me a book.

Fast-forward to today.

As I endanger the streets in my Lamborghini, I relive that same moment except in role reversal. To celebrate my Fastlane success, I bought one of these legendary beasts, a Lamborghini Diablo. You can't be shy.

If You Are Serious About Wealth - Start Here

This is an honest to goodness "Get Rich Quick" book. But you must understand two things. First quick is 5 to 10 years. Second quick does not mean easy. Most "Get Rich Quick" books or programs really scam people into believing there is a method to "Get Rich Easy". MJ DeMarco, the author, does an extremely good job of telling the truth about what it takes to really achieve wealth.

The book starts off by describing three different economic paths and most people follow one of these paths. The first path is the sidewalk where people are basically living from paycheck to paycheck. The second is what MJ calls the slow lane - work hard for forty to fifty years, dutifully save 10% or more in your 401K and retire with a modest sum. However there are many dangers with the slow lane method. It depends on everything going right for those 40 - 50 years - not a good bet.

Then there is the fast lane. Here you are in control of your destiny, you work extremely hard for 5 to 10 years in a business which has the chance to make big money and once you build the business to size, you have a liquidation event, generally a sale.

There is a lot of wisdom in what he says. Most people who start their own businesses violate the rules that MJ gives. Your business must fill a need. It cannot be what you love or what you are good at. The product/service must be of value in the market place. And you must be able to scale the business - either by providing massive value to a few people or providing good value to a large number of people.

You cannot scale a local sandwich shop. Any business that cannot be scaled is simply a job.

MJ takes good aim at MLM opportunities and any other "business" that you can enter by buying a $199 distributor kit. You will save yourself tons of money and energy by reading and absorbing the lessons in this book.

In addition to the business and investing lessons, there are some extremely great life lessons in the book. MJ shares a lot of the lessons he learned the hard way - lessons such as your life is a composite of all the choices you have made. "Your choices are made in a moment, but their consequences will transcend a lifetime."

He also gives some great lessons about time - how it is our most valuable/precious asset.

The book is extremely easy to read. However it will probably challenge a lot of your long held beliefs. If you are seeking some magic formula for getting wealthy without a lot of effort, look elsewhere. If you want a serious how to manual, with some raw truth told by someone who might appear to be your "Dutch Uncle" then study this book and follow his advice.

MJ does not soft pedal the facts of life about getting wealthy. He speaks from experience and gives you some great insights into what it really takes to get wealthy.

Highly recommended but only for those willing to do what it takes.

Suprised just how good this was!

My cynical nature is rarely disappointed. And I was prepared for this book to be more self-published non-sense. I was wrong. This book is quite good - and I was pleasantly surprised. Think of it as similar to the 'Rich-Dad' series in tone, but with all the very best stuff there in spades - and with all the filler gone. The author is both an excellent writer (again, rare) and has a knack not only for telling it like it is, but for expressing himself with analytic accuracy and striking clarity. Essentially the book helps you re-think all you thought you knew about wealth creation. It's neither a how-to-guide (i.e., buy real estate) or the 'you can do it' feel-good treatise (a la Tony Robbins). Rather, it's critical thinking at its best. He works to debunk a number of wealth fantasies sold to the masses. In many ways, it's not althogether new, but it has rarely been delivered all in one package with such clarity and panache! I'm sure I could take a few critical stabs at it, but one fact remains: it's far superior to most out there in it's genre.

Unrealistic. Not badly written, but completely unrealistic

I understand why self-help books like this get "5-star" ratings. It is not because they work, but it is because they sell hope in a plausible manner.

This is not a bad book - in fact, the business concepts are very solid, and no different than what you would get in a "Cliffs Notes" of marketing. He just adds some energy and motivation within the text which make it differ from a conventional textbook.

The KEY problem which all buyers need to understand before purchasing this book : The claims he make that 'anyone' can motivate and make millions hand over fist by following his concepts, are not true. While I would agree that the concepts he puts forth are probably needed in large part to facilitate large-scale wealth generation, these concepts are so intrinsically obvious that in a practical setting, it is akin to selling fluff.

To put it in perspective from a more realistic scenario:

- Millions of people with far more experience, funds, and even talent than you or he have, attempt exactly what he states in creating businesses that scale well, serve a need, and don't require big startup costs. Vanishingly few succeed. Even in the author's very own area of expertise, 'net marketing', silicon valley venture capital firms are heavily involved investing millions to get the necessary insights to succeed reliably, and even they have a checkered history on it. It is extremely, extremely doubtful that a rookie, or even someone with a good skillset, can compete successfully time after time as the author suggests.

- The far more plausible reason for the author's success is luck. Yes, hard work is necessary for even getting a chance for luck to work, but the author started one web business in the early days of the web, and he was well positioned early on to happen to capture a good chunk of the market. (He owns a business about limo reservations online.) If it were as doable to repeat this task in another field, there is a 100% chance that someone would have done it already. He never mentions luck in his book, but truth is, luck was probably the most important factor for his success. Good timing, good situation counts for a lot, but does not make what you do repeatable. (It is highly doubtful that he could repeat his success with a web business now.)

- The book completely lacks any specifics whatsoever about the crucial details needed to succeed. He leaves it to you to 'work hard and figure it out.' Not unexpected, but also lacking value. It's pretty easy to just say "Go start a business that scales well, has low startup costs, and high barriers to entry - figure out what that business is on your own." It's extremely difficult to give directions as to where that business may lie. He gives zero details about how to go about figuring this out - not even a system to draw upon your own strengths. If anything, he says to ignore your own strengths, as you should focus not on yourself, but only on the needs of others.

- The most telling flaw in his book that shows how one-dimensional and limited his perpsective on reliable wealth generation is: He completely ignores the single most important factor - human capital. Almost all people who can generate large quantities of wealth reliably, are experts in identifying and communicating with the people who will help them succeed. This is the single most important skill a business person can have, exceed your ideas, personal execution, and funds. Your ability to network effectively (I hate that term but it is probably the most apt one) will be the greatest determinant of your success. You do not make millions and leverage a large business machine on your own - it requires a team of strong players, of which you are but one piece. To not mention this is a fatal omission in any directive to generate a high revenue business.

- And another big flaw is that he completely eschews the value of education in the book. While I agree that getting straight As in school won't ever be a guarantee of a great income, ignoring your educational background (he makes a big point of denigrating academics as missing the boat) is fraught with risk. He claims it's possible to start that killer million-dollar business with no special background, and just a lot of motivation and effort. Good luck with that. Odds are far, far more likely that he was lucky enough that when he decided to go into the web business, it was taking off, and his effort happened to be rewarded with outsized returns. It would be no different than a gold panning hunter who happened to find a big gold nugget in the dirt by luck - sure he may have worked his tail off to find it, and he may have a very plausible sounding way that he did it, but hasn't been able to repeat it, and certainly is not justified in saying he now is an expert in gold hunting because he stumbled upon a one-hit wonder. Repeated success = credibility. Not seeing it from this author at the scale he claims it is.

- I could punch so many holes into his critique of avoiding compound interest until you 'make millions first' that it's laughable, actually. He gives some of the worst financial advice I can imagine, but that's the consequence of believing that you indeed have a failsafe million dollar per year generating business in your near future, which pretty much absolves you of even requiring standard investing strategy to hedge your bets for the future. In fact, I could summarize most of his book this way - because you'll be making millions per year (good luck with that), you don't have to worry about the slow-wealth generating things that everyone who isn't making millions per year do worry about. Unfortunately, this advice should ONLY come after you have that million+ business already generating income - it's terrible advice for the 99.9999% of people who will not succeed at their shot at that home run business.

In summary, this is no different than any other 'get-rich' book, which focuses mostly on the "feel-good" and "you-can-do-it!" part of equation, provides a lot of completely theoretical ways to do it (make a business that scales well with low capital investment despite your complete lack of experience in doing anything of the sort and special personal skills) and tries to use his isolated example of hitting it big one-time in a web business as proof of why he knows what he's doing despite the fact he has never repeated his one-hit wonder performance.

Hastily cobbled together

Having reached past page 100 of the book, I feel compelled to pause for a moment and offer my review of it. If my opinion changes somewhat later, I'll update it in consequence.

Obviously, this book was hastily published, in an attempt to be the first one out, and is sorely lacking proofreading and coordination between the authors. Following are a few issues I personally found grating.

The text is adequate but verbose (some topics are needlessly broached several times) and all over the place (topics are started in a chapter, continued in another, and neither chapter provides a comprehensive picture of the functionality they're dealing with). Depth is inconsistent: Chapter 3, which is entirely devoted to explaining the request processing lifecycle, glosses over how navigating between different pages interacts with the lifecyle of those pages but at the same time Chapter 2 feels necessary to explain that you should use 'localhost' in your browser to point to a locally deployed application.

Some sections are directly lifted from the previous edition: I suppose there are no differences between the Expression Language in version 1.2 and version 2.0, but I'd like at least an acknowledgment instead of a diagram that only shows JSF versions reaching 1.2. Another example is that, suddenly, the text makes reference to JSP as the view definition language, and you find yourself wondering whether that section you're reading is still relevant in a Facelets world.

Even better (well, worse) is to see an "Expert Group Insight" box praising the MethodBinding class, without even making a note that the class is now deprecated (as a matter of fact, MethodBinding was *already* deprecated in JSF 1.2); if I tell you that the surrounding text makes no mention of that class, since MethodExpression has long replaced its functionality, you can see how those recurring little things can be annoying.

The examples are both repetitive and mostly useless. Some examples don't even match the text that refers to them (the command button action and value attribute values are repeat offenders there)

At times, the book feels like it was published without the authors' approval: Chapter 4, in its 10-page glory, is woefully insufficient as a coverage of the Facelets language (the non-templating Facelets tags have 1/2 page to share between them), and Chapter 17 (referred to in Chapter 2 and Chapter 5), while minor, is completely missing (and admitting that omission is sadly the only thing in the online errata at the moment)

Verdict

What I really expected from this book, was both a complete, integrated picture of JSF 2.0, and a sense of the best practices to use when developing a JSF application, but sadly this is not the book for it. At the very least, wait for a revised edition, so that they can fix the most glaring mistakes. But I'd still look somewhere else if I had to pick a JSF book again in a year.

It is just a reference book

I was attracted by the statements on the cover of this book.
But the content I found is equal to online Java EE tutorial + JSF 2.0 specification.

There are a lot of new features in JSF 2.0 and the authors introduce them well, but often without context. I mean I want to see a real problem that is easily and nicely can be solved by using the feature, what I see instead is just a synthetic "hello world" examples. This is one of the reasons why new comers programmers write inconsistent code: they use wrong tools in a wrong places.

There are not so many real examples as the book claims it has. There are no custom components created and just composite ones. I mean there are no Calendar component, fancy button component, accordions, etc. Without those components it is hard to call a site "RIA".
And as I understand JSF 2.0 is for Rich Internet Applications.
The "Virtual Trainer Application" sample (which is the only one complete and real) does not show the Full power of JSF 2.0. I mean I can implement the same application by using JSP 2.1 or with Struts 2.0, or with SpringMVC -- any MVC capable framework can do the same job with almost the same effort. So why should I use JSF? Ok, there is Validation which is greatly highlighted, but I wanted to see more.

Authors constantly says that we should not use that technique or this code in the real world example. Look, why I then bought this book?
For simplicity authors remove some JEE aspects, like EJB, but what they do instead is create their own things which kind of replace for EJB. They shows the real code and asks not to use it. What is the reason then? I am sure junior programmers won't check EJB and just will use the code authors provide.

After reading this book I still can't answer the questions I was interested in.
Some of them are:
what is the JSF 2.0 way to expose, let say, JQueryUI controls as JSF components?
how to create table component which will load data lazily?
how to implement two version of the page one for Computer's Browser and one for Mobile's one?

And there is no word about CDI (Context & Dependency Injection) + JSF 2.0 integration.

One of the worst Java books I have read ever

I am fortunate to have prior experience using JSF but I assume this book is going to be very hard to follow for developers new to this topic. And it is very verbose and still lacking for developers that have already used older versions of JSF. The chapter on Facelets is a joke. I haven't completed the book yet though. So far it has been a disappointment. It is a very incomplete reference.
